By accessing or using Q'Entre's smart access control platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including organizations, administrators, and end users.

2. Description of Service

Q'Entre provides a comprehensive access control platform consisting of:

• Smart hardware devices (QR code scanners, electronic locks)
• Cloud-based management platform
• Mobile applications for iOS and Android
• Web-based administrative dashboard
• Related software, features, and services

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Be at least 18 years of age
• Have the authority to bind your organization to these Terms

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials

Q'Entre hardware devices are sold separately and subject to additional terms. Hardware warranty and support terms will be provided with your purchase.

5.2 Installation and Maintenance

You are responsible for:

• Proper installation of hardware devices
• Providing adequate network connectivity and power
• Regular maintenance and updates
• Physical security of hardware devices

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

You retain ownership of your data. We will not access, use, or disclose your data except as necessary to provide the Service or as required by law.

7. Subscription and Payment

7.1 Fees

You agree to pay all applicable fees for your subscription plan. Fees are billed in advance on a recurring basis (monthly, annually, or as otherwise agreed).

• Payments are non-refundable except as required by law

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You remain responsible for all charges incurred prior to cancellation.

The Service, including all software, hardware designs, content, and materials, is owned by Q'Entre and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service.

You retain all rights to your data and content. By using the Service, you grant us a license to use your data solely to provide and improve the Service.

9. Warranties and Disclaimers

We warrant that the Service will perform substantially in accordance with our documentation. This warranty is subject to your proper use of the Service.

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Q'ENTRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Q'Entre from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your data or content

12. Term and Termination

These Terms remain in effect until terminated. We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and data
• You remain liable for all charges incurred
• Provisions that should survive termination will continue to apply

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

14. Changes to Terms
